Service Agreement
This document (referred to as our “Service Agreement”) gives You information about the terms upon which we agree to offer and provide You with our Products & Services.

We encourage You to print a copy of this document for Your reference, although You already received a copy, which You signed and approved, prior to appointing Purplebricks as Your Broker.

By entering into this Service Agreement, You are agreeing to each of the terms and conditions contained herein and to those additional terms and conditions contained in our Privacy Policy and Terms of Use which were updated on [August 1, 2017]. Your continued use of our Products & Services constitutes Your acceptance of this Service Agreement, the Privacy Policies and the Terms or Use.
What do words and phrases mean in this Service Agreement?
"Access"
Access to a list whether via the Online Platform, email or in writing.

"Account"
Your account on www.Purplebricks.com.

"Advertising & Marketing"
Advertising and marketing as Purplebricks considers necessary or appropriate to help introduce a buyer for the Property.

"Broker"
A licensed real estate broker.

"Broker Controlled Escrow"
Purplebricks Closing Services, A Non-Independent Broker Escrow which is a trading name of the Broker.

"Buyer"
Those who purchase the property.

"Buy Side"
Scheduling showings/tours, attending showings where possible, seeking to obtain feedback after showings and distributing the feedback to the seller if provided, encouraging offers if possible, negotiating offers where required, helping to agree a sale, advising a home-buyer throughout the closing process where able and such other activities and services as are agreed from time to time.

"Buy Side Broker"
A real estate agent, broker, or licensed salesperson, who introduces or procures the Buyer or a potential buyer.

"Buy Side Fee"
The cooperating commission offered in the multiple listing service (“MLS”).

"Closes"
The same as Closing.

"Closing"
Where title passes from You to buyer or, in the event that a transaction fails to result in title passing from You to buyer, where the You are entitled to receive the deposit funds.

"Compensation"
The Buy Side and Sell-Side Fee.

"Contribution"
One half of any damages after deducting title and escrow expenses and the expenses of collection, if any.

"Content"
Information as we request from You via the Online Platform.

"Deferred Payment Date"
The date that payment is due from You in accordance with the Pay Later Terms.

"Dual Agency"
Where Purplebricks act on the Sell Side and on the Buy Side in relation to the Property.

"Escrow Services"
The closing services offered to a seller or buyer by the Broker Controlled Escrow.

"Introduced Buyer"
Anyone who has registered their interest in the Property, has entered the Property or who has made an offer via the Online Platform or who can otherwise be shown to have been introduced to the Property by any of the Advertising & Marketing activity of any Buy Side Broker.

"Listing Period"
The period of six months or such longer period as is agreed between us and You from time to time.

"Listing Price"
The price that You wish to offer the Property for sale which may be amended or changed from time to time.

"Listing Service"
This service may include presenting comparative market analysis (“CMA”) by a Local Real Estate Expert, complete sign off on listing agreement and state disclosures, prepare the Property for sale such as photos, virtual tours, staging, etc. (if required and subject to any payment terms), arrange yard-sign installation and place keysafe/lockbox for showings, arranging and executing any additional paid for Advertising & Marketing activities, placing the Property on the MLS, access to the Online Platform, help and support 24 hours a day.

"Local Real Estate Expert"
Any real estate agent acting for or on behalf of the Purplebricks whether on the Sell Side, Buy Side or acting as or part of a Dual Agency.

"MLS Broker"
A licensed real estate broker who is a member of the MLS.

"Online Platform"
Purplebricks technology platform housed on the Website and accessed by You via a unique user name and password following registration.

"Pay Later"
A system whereby You agree to pay the Sell Side Fee upon entering into this Service Agreement, but choose to defer the cost by entering into the Pay Later Terms with Purplebricks.

"Pay Later Terms"
You are obligated to pay the Sell Side Fee in full when any of the following occurs, whichever happens first:
  • upon Closing; or
  • If You terminate our appointment to act as Your Broker; or
  • six months from the date when You agree to use our Products & Services, whether or not there is a Closing.


"Pay Now"
You agree to pay the Sell Side Fee upon entering into this Service Agreement.

"Products & Services"
The Sell Side service, the Buy Side service and such other products and services offered by Purplebricks from time to time.

"Property"
The property that You engage Purplebricks as Your Broker to sell.

"Purchase Agreement"
Means the agreement between the You and Buyer for the purchase of the Property.

"Purchase Price"
The price You have agreed to sell the Property for and the price the Buyer has agreed to pay for the Property.

"Sell Side"
Undertaking the listing appointment, reaching agreement to engage Purplebricks, completing the Listing Service, providing Advertising & Marketing, liaising with You, the Buyer and any Buy Side Broker and such other service as we consider to be required or necessary in the circumstances during the Listing Period.

"Sell Side Fee"
The fixed fee You have agreed to pay Purplebricks for the Sell Side as advertised from time to time on our Website.

"Seller"
Everyone who is legally or beneficially entitled to the Property or who have all the relevant authorities and authorisations necessary or required to enable them to sell the Property.

"Terms of Use"
The terms of use of the Online Platform as advertised from time to time on our Website.

"Website"
Www.Purplebricks.com.

"You"
The Seller.

Exclusive Right to Sell

You hereby exclusively and irrevocably, as Seller of the Property, engage Purplebricks Realty Inc. (“Purplebricks”) as Your Broker and grant us the exclusive right to sell or exchange contracts for the Property during the Listing Period.

All Owners of the Property

When You engage Purplebricks You confirm that You do so with the knowledge, consent and agreement of each and all of the legal owners and occupiers and those who have an interest in the marketing and/or sale of the Property. Further, You confirm that You have all relevant authorities and authorizations as are necessary or required to enable You to take advantage of the Products & Services.

Local, State and Federal Housing Laws

It is agreed that this Property is listed in full compliance with local, state and federal fair housing laws against discrimination on the basis of race, color, religion, sex, national origin, handicap, age, marital status, children, sexual orientation, military status or other characteristic protected by law.

Listing Price

The Property shall be advertised for the Listing Price.

Items Included and Excluded

Unless it is stated otherwise in the Purchase Agreement, all personal items are excluded from the sale and all fixtures and fittings are included as part of the Purchase Price.

Payment for Our Products & Services

Compensation shall include a fixed fee for our Products & Services on the Sell Side and a fee for the Buy Side.

Payment for the Sell Side

You agree and are obliged to pay the fixed Sell Side Fee upon entering into this Service Agreement and may make payment now or You can take advantage of the Pay Later option.

If You choose to Pay Now, You will be required to provide us with Your credit or debit card details and we will obtain approval for an amount up to the amount of the transaction and debit that amount from Your card. Billing occurs at the time of, or shortly after Your transaction.

If You choose to Pay Later, we will provide You with the ability to do so subject to the Pay Later Terms.

If You choose to pay later You are obligated to make payment in full for the Sell Side Fee when any of the following occurs (“payment event”), whichever happens first:

  • upon Closing; or
  • if You terminate our appointment to act as your Broker; or
  • six months from the date when You agree to use our Products & Services, whether or not there is a Closing.
IMPORTANT INFORMATION - PLEASE READ

It is a condition of Pay Later that You agree to instruct the escrow company, including but not limited to Broker Controlled Escrow, to make payment in full to Purplebricks upon Closing for the Products & Services performed for You in the event that You have not already made payment in accordance with the Pay Later Terms.

In the event that you have not already made payment, you will be required to do so within one working day (“the payment period”) of either of the payment events occurring. You authorise Purplebricks to request and receive payment of the Products & Services from the proceeds of the sale of your Property on Closing or if Closing has not yet happened you will be required to make a direct payment to Purplebricks within the payment period. You can make payment by way of a bank transfer or by calling 888-822-8008 to make a debit or credit card payment. Purplebricks may also contact you when due to take payment from you. If full payment is not made within the payment period, interest will be charged up to the legal rate of interest permitted by law. You agree (in addition to the payment of the Products & Services and any applicable interest) to pay all collection costs (including but not limited to legal and administration fees).

You accept that we may from time to time choose to carry out identity and regulatory checks with the information You have provided to us.

Payment Details

When You take advantage of any of our Products & Services, we may take certain information from You such as the name on the card, card number, start date, expiry date, security code or issue number. This information will be used to take the agreed payment and will not be stored on our system. This information will be stored by the card merchant and only if You take advantage of Products & Services in the future will You get the choice to use the same card and we will then call for the information from the card merchant. You can choose not to have Your card stored should You so wish.

If You believe You have been billed in error notify us immediately by emailing accounts@purplebricks.com.

Payment for the Buy Side
You agree and are obliged to pay the Buy Side Fee (offer of cooperation in the MLS) in the following circumstances irrespective of agency relationships:

  • If during the Listing Period You, Purplebricks, an MLS Broker, or any other person introduces or procures a buyer who offers to purchase the Property at or above the Listing Price, whether or not the Property Closes during or after the expiration of the Listing Period; or
  • If within four (4) calendar months after the end of the Listing Period You enter into an agreement to sell, convey, lease or transfer the Property to any Introduced Buyer.
  • If You receive damages or compensation by suit, arbitration, settlement or otherwise because completion of the sale is restricted or prevented by anyone other than You limited to the Buy Side Fee, provided always that Purplebricks have before or within three (3) calendar days of the end of the Listing Period, given You Access to a list of all the names of any Introduced Buyer.
  • You hereby agree that You will refer all potential buyers to Purplebricks if You are contacted direct.
Sharing Compensation with Other Brokers
  • You acknowledge and agree to Purplebricks policy of sharing compensation with any other broker including any MLS Broker.
  • In accordance with Purplebricks policy of sharing compensation we are authorized to offer some or all of the Buy Side Fee to any MLS Broker and for all other brokers a fee in accordance with our policy of sharing compensation.
Buyers Rebate

Eligible buyers who Purplebricks represents in the purchase of a home may in the absolute discretion of Purplebricks become entitled to a Buyers Rebate payable upon Closing. You agree that Purplebricks may, if they so wish from time to time, pay the Buyers Rebate to a buyer who Purplebricks represents including any buyer on a Dual Agency basis.

To be eligible for the Buyers Rebate, a buyer must not be represented by another licensed real estate professional and must execute a buyer representation agreement with Purplebricks on terms and conditions agreed from time to time with the buyer. Furthermore, only homes that sell for over $200,000 are eligible.

The buyer, when eligible and offered, has a choice as to whether to claim the Buyers Rebate, unless prohibited by law. Any buyer wishing to claim the Buyers Rebate is required to disclose the nature and the existence of the Buyers Rebate to all parties involved in the transaction, including: the seller, all real estate brokers and agents, any lenders and any other parties to the transaction.

Where there is a transaction involving a lender, payment of the Buyers Rebate shall only be made if agreed to by the lender and in the form required by the lender.

Purplebricks buyer representation is currently offered in the State of California.

Irrevocably Assigning Compensation

You hereby agree and accept to irrevocably assign to Purplebricks the Buy Side Fee from Your funds and proceeds in escrow including any deposit held. Purplebricks may submit this Service Agreement, as instructions to pay the Buy Side Fee, to any escrow company, including but not limited to Broker Controlled Escrow, where the fee is due in accordance with this Service Agreement.

In the event that You have chosen to Pay Later, You hereby agree and accept to irrevocably assign to Purplebricks the Sell Side Fee from Your funds and proceeds in escrow including any deposit held. Purplebricks may submit this Service Agreement, as instructions to pay the Sell Side Fee, to any escrow company, including but not limited to Broker Controlled Escrow, where the fee is due in accordance with this Service Agreement.

Agreements with Another Broker

You hereby confirm that, unless You have notified Purplebricks in writing prior to entering into this Service Agreement, You have not entered into a listing agreement with another broker in relation to the Property.

Unless You have provided full and complete written details in advance of entering into this Service Agreement, You warrant that You have no obligation to pay compensation to any other broker.

In the event that the Property is sold to anyone notified to Purplebricks in writing prior to entering into this Service Agreement in accordance with the above provisions, You will not be obligated to pay the Buy Side Fee to Purplebricks and they will not be obligated to represent You in such transaction. In all other circumstances, Purplebricks will represent You in any transaction.

Dual Agency Relationship

Purplebricks may act in a Dual Agency capacity as it relates to the sale of the Property. Where Purplebricks is in a Dual Agency relationship, we will notify You as soon as practicable in writing to confirm the agency relationship on or before execution of the Purchase Agreement.

In the event that the Buyer is introduced or procured by Purplebricks or any Local Real Estate Expert, You hereby agree and consent to them acting on a Dual Agency basis and Purplebricks shall be entitled to the Buy Side Fee. In this scenario, You are providing advanced informed consent.

In the event that Purplebricks or any Local Real Estate Expert acts on a Dual Agency basis, You hereby consent to Purplebricks collecting compensation from third-parties for any services rendered provided there is disclosure to all parties.

You hereby understand and agree that Purplebricks or any Local Real Estate Expert acting on a Dual Agency will not without prior written consent:

  • Disclose to the Buyer that You are willing to sell the Property at a price less than the Listing Price; or
  • Disclose to You that the Buyer is willing to pay a price greater than the price being offered.

In all other circumstances other than those listed above, we are obligated to disclose known facts to both parties that materially affect the value or desirability of the Property.

Cancellations and Refunds
IMPORTANT INFORMATION - PLEASE READ

Once You have appointed Purplebricks, You will be liable to pay the Sell Side Fee whether You choose to Pay Now or Pay Later. Where You choose to Pay Later, You will not pay for the Products & Services until payment is due in accordance with the Pay Later Terms. The Buy Side Fee will be payable in accordance with the terms of this Service Agreement.

Should You wish to cancel or withdraw from receiving the Products & Services, You may do so at any time following the end of the Listing Period. However, under no circumstances will any full or part credit be made in respect of the Sell Side Fee or, if due under the terms of this Service Agreement, the Buy Side Fee. You can withdraw Your listing at any time from the end of the Listing Period. In certain circumstances, You may be able to re-list the property within a designated period after withdrawal. Details will be made available at the time of seeking to withdraw/relist Your listing.

You remain liable to pay Purplebricks in accordance with the Pay Later terms should You cancel or withdraw Your listing or any Products & Services. Further advertised rates may be payable to reinstate any removed or suspended Products & Services.

In the event that You cancel, Your listing or any Products & Services and have chosen to Pay Later such circumstances will result in payment being collected from You automatically.

Purplebricks Representing Other Sellers

Purplebricks will have and be appointed on listings for other properties where prospective buyers may attend showings, make offers or purchase through Purplebricks property which is of the same nature or a similar type in a nearby locality to the Property. You hereby consent and agree to Purplebricks representing other sellers and buyers prior to, during, and after this Service Agreement comes to an end.

Matters Affecting You or the Property

Unless You have confirmed to Purplebricks in writing prior to entering into this Service Agreement, You hereby represent that You are unaware of:

  • Any notice of default recorded against the Property;
  • Any outstanding amounts due under any loan secured against the Property;
  • Any bankruptcy, insolvency or such other proceedings affecting the Property;
  • Any litigation, arbitration, administrative action, government investigation, or other pending or threatened action that affects or may affect the Property or Your ability to transfer it; and
  • Any current, pending or proposed special assessments affecting the Property.

In the event that any of these circumstances arise after entering into this Service Agreement You should promptly notify Purplebricks.

MLS
  • You hereby authorize and agree that Purplebricks shall be required to comply with all applicable MLS rules and that the terms of the transaction, including financing, if applicable will be provided to each MLS for publication, dissemination, and use by persons and entities on terms approved by the MLS.
  • You hereby authorize and agree that, unless Purplebricks instruct the MLS otherwise, under the MLS rules the Property may be made available to other internet sites.
  • In accordance with MLS rules, we are generally required to submit the listing of the Property to the MLS within forty-eight (48) hours after You have entered into this Service Agreement. You hereby confirm and agree that we will submit the listing of the Property to the MLS within forty-eight (48) hours of You approving You listing content.
Advertising & Marketing
  • Purplebricks will use reasonable effort and due diligence to achieve a sale of the Property;
  • We will, at our absolute discretion, advertise and market Your property for the Listing Period on such property portals, MLS’s, websites or publications as we consider to be the most effective at securing interest in the Property;
Indemnity

You agree to indemnify, defend, and hold Purplebricks harmless for all claims, disputes, litigation, judgments, and attorney fees arising from any inaccurate or incorrect information supplied by You, or from any material facts You fail to disclose.

In any action, proceeding, or arbitration between You and Purplebricks regarding the obligation to pay the Buy Side Fee, the party who is successful shall be entitled to reasonable attorney fees and costs.

Inspection Contingencies

You agree to accept a purchase offer contingent, for a reasonable period of time, on the Purchaser’s ability to obtain inspections regarding unknown circumstances which could affect the habitability of the Property.

Deposits

You agree to sign, upon entry into escrow for the sale of the Property, an irrevocable instruction to pay Purplebricks any portion of and/or all of the deposits made as part of the Purchase Price into escrow, to which You may become entitled upon cancellation, to pay the Sell Side Fee and Buy Side Fee which is due under this Service Agreement.

Disclosure and Confirmation

You shall be provided with a Disclosure Regarding Agency Relationships and other state disclosures on or prior to entering into this Service Agreement. The Property is offered for sale in compliance with federal, state and local anti-discrimination laws.

Security

Purplebricks is not responsible for loss or damage to personal or real property, or person, whether attributable to use of a keysafe/lockbox, a showing of the Property, or otherwise. Third-parties, including, but not limited to, appraisers, inspectors, brokers and prospective buyers, may have access to, and take videos and photographs of, the interior of the Property.

You agree:

  • To take all reasonable precautions to safeguard and protect valuable and possessions that might be accessible during showings of the Property; and
  • To obtain such insurance as is necessary to protect against these risks because Purplebricks does not maintain or provide such cover.

A keysafe/lockbox is designed to hold a key to the Property to permit access to the Property by Purplebricks, Local Real Estate Experts, licensed real estate professionals, MLS participants, their authorized licensees and representatives, authorized inspectors, and accompanied prospective buyers. None of these parties are insurers against injury, theft, loss, vandalism, or damage attributed to the use of the keysafe/lockbox. You hereby authorize and agree for Purplebricks to install a keysafe/lockbox at the Property.

In the event that You do not live at the Property, it is Your responsibility to seek and obtain the written consent of occupants to install a keysafe/lockbox.

Yard Sign

You hereby authorize and agree that Purplebricks may install a FOR SALE/SOLD sign on the property unless You notify us in writing prior to entering into this Service Agreement.

Provision of Personal Information

For the effective use of the Products & Services, we will be providing certain people and organizations including the MLS and Local Real Estate Expert with personal information such as Your name, address, contact details, viewing availability, agreed sale price, and position to proceed. Please read the Terms of Use and our Privacy Policy for more information, terms, and conditions. It is Your responsibility to provide accurate, up to date personal information through the Online Platform.

Personal Interest

We will always inform You as soon as we become aware of anyone making an offer for Your Property that is in any way connected with Purplebricks; whether they are employed, a contractor, family member, or providing services to us.

In the event that You are aware of any personal interest from anyone connected with Purplebricks, You should notify us immediately. We will then make such inquiries as we consider necessary and provide You with a notification in writing of the nature of the personal interest. You will have the sole discretion to decide whether You wish to deal with the person or persons concerned. We will never knowingly permit any offer to be made or sale agreed with someone connected to Purplebricks unless we have provided You with written notice. This written notice will ordinarily be displayed when You review the offer.

Before Your Property is placed in the MLS, Purplebricks will ask You whether You are in any way connected with Purplebricks; whether You are employed, a contractor, family member, or providing services to us. This will be disclosed to all potential buyer or tenants.

Third-Party Companies

We will introduce to You, the buyer/tenant or any prospective buyer/tenant (where we deem appropriate and/or necessary) to third-party services (the “services”) such as mortgages, insurance, rental services, and closing services but only where we reasonably believe that the services being provided are in the best interests of You, the buyer/tenant or prospective buyer/tenant and further that the third-party companies are capable of providing exceptional service.

We may receive commission for introducing You to a third-party, but only when we are legally permitted to do so, have complied with any legal obligations and You have agreed to take advantage of such services. You may decide, of Your own free will, and we will never pressurise or require You to use such services. You hereby expressly agree and accept that in the event that we introduce a product or service from a third-party company that we may accept a payment or commission as a result of that introduction if we are legally entitled to do so.

Where requested, we will instruct on Your behalf third parties to conduct some of the services advertised by Purplebricks. While we will make all reasonable efforts to ensure that they continue to provide exceptional service, we cannot accept liability for the conduct and service of those third -parties acting on Your behalf.

THERE ARE FREQUENTLY OTHER SETTLEMENT SERVICE PROVIDERS AVAILABLE WITH SIMILAR SERVICES. YOU ARE FREE TO SHOP AROUND TO DETERMINE THAT YOU ARE RECEIVING THE BEST SERVICES AND THE BEST RATE FOR THESE SERVICES.

Availability of the Products

While we will make all reasonable efforts to ensure that the Products & Services are available at all times, Purplebricks does not guarantee, represent, or warrant that Your access to any of the Products & Services will be uninterrupted or error-free.

We will always make all reasonable efforts to ensure that all content submitted by You to us will be secure. We cannot guarantee that the Online Platform, Products & Services, or the Website will be free from loss, corruption, attack, viruses, ‘worms’, ‘trojan horses’, or other harmful components, or from interference, hacking, or other security intrusions. You should be sure to back up Your own system periodically to ensure that all content available to You and located within Your Account, is available to You in the event of any loss or damage as Purplebricks reserves the right to remove or suspend all or any part of the content, at any time in accordance with these terms.

Dispute Resolution
  • You and Purplebricks agree to mediate any dispute or claim arising between us out of this Service Agreement, or any resulting transaction, before resorting to arbitration or court action, subject to the exclusions below. If there are any mediation fees, they shall be divided equally among us.
  • If one of us commence an arbitration or court action without first attempting to resolve the matter through mediation, or one of us refuse to mediate after a request has been made, that party shall not be entitled to recover attorney fees, even if they would otherwise be available to that party in any such action whether or not the arbitration provision is initiated.
  • You and Purplebricks agree that any dispute or claim in law or equity arising between us regarding the obligation to pay compensation under this Service Agreement, which is not settled through mediation, shall be decided by neutral, binding arbitration, including and subject to the exclusions below. The arbitrator shall be a retired judge or justice, or any attorney with at least five (5) years of residential real estate law experience, unless we mutually agree to a different arbitrator. The parties shall have the right to discovery in accordance with California Code of Civil Procedure. In all other respects, the arbitration shall be conducted in accordance with Title 9 of Part III of the California Code of Civil Procedure. Judgement upon the award of the arbitrator may be entered in any court having jurisdiction. Interpretation of this Service Agreement to arbitrate shall be governed by the Federal Arbitration Act.
  • EXCLUSIONS: The following matters are excluded from mediation and arbitration:
    • a judicial or non-judicial foreclosed or other action or proceeding to enforce a deed of trust, mortgage, or instalment land sale contract as defined in California Civil Code;
    • an unlawful detained action;
    • the filing or enforcement of a mechanic’s lien; and
    • any matter that is within the jurisdiction of probate, small claims, or bankruptcy court. The filing of a court action to enable the recording of a notice of pending action, for order of attachment, receivership, injunction, or other provisional remedies, shall not constitute a waiver of the mediation and arbitration provisions.

BY ENTERING INTO THIS AGREEMENT, YOU ARE AGREEING TO HAVE ANY DISPUTE ARISING OUT OF THE MATTERS INCLUDED IN THIS DISPUTE RESOLUTION PROVISION

DECIDED BY NEUTRAL ARBITRATION AS AUTHORIZED BY CALIFORNIA LAW AND YOU ARE GIVING UP ANY RIGHT YOU MIGHT POSSESS TO HAVE THE DISPUTE LITIGATED IN COURT OR JURY TRIAL. BY ENTERING INTO THIS SERVICE AGREEMENT YOU ARE GIVING UP YOUR JUDICIAL RIGHTS TO DISCOVERY AND APPEAL, UNLESS THOSE RIGHTS ARE SPECIFICALLY INCLUDED IN THIS DISPUTE RESOLUTION PROVISION. IF YOU REFUSE TO SUBMIT TO ARBITRATION AFTER AGREEING TO THIS PROVISION, YOU MAY BE COMPELLED TO ARBITRATE UNDER THE AUTHORITY OF THE CALIFORNIA CODE OF CIVIL PROCEDURE. YOUR AGREEMENT TO THIS ARBITRATION PROVISION IS VOLUNTARY.

WE HAVE READ AND UNDERSTAND THE FORGOING AND AGREE TO SUBMIT DISPUTES ARISING OUT OF THE MATTERS INCLUDED IN THE ‘ARBITRATION OF DISPUTES’ PROVISION TO NEUTRAL ARBITRATION.

Buyer Rebate

Eligible buyers who Purplebricks represents in the purchase of a home may in the absolute discretion of Purplebricks become entitled to a Buyers Rebate payable upon Closing. You agree that Purplebricks may, if they so wish from time to time, pay the Buyers Rebate to a buyer who Purplebricks represents including any buyer on a Dual Agency basis.

To be eligible for the Buyers Rebate, a buyer must not be represented by another licensed real estate professional and must execute a buyer representation agreement with Purplebricks on terms and conditions agreed from time to time with the buyer. Furthermore, only homes that sell for over $200,000 are eligible.

The buyer, when eligible and offered, has a choice as to whether to claim the Buyers Rebate, unless prohibited by law. Any buyer wishing to claim the Buyers Rebate is required to disclose the nature and the existence of the Buyers Rebate to all parties involved in the transaction, including: the seller, all real estate brokers and agents, any lenders and any other parties to the transaction.

Where there is a transaction involving a lender, payment of the Buyers Rebate shall only be made if agreed to by the lender and in the form required by the lender.

Purplebricks buyer representation is currently offered in the State of California.

ENTIRE AGREEMENT:

All prior discussions, negotiations and agreements between the parties concerning the subject matter of this Service Agreement are suspended by this Service Agreement, which constitutes the entire contract and a complete and exclusive expression of their agreement, and may not be contradicted by evidence of any prior agreement or contemporaneous oral agreement. If any provision of this Service Agreement is held to be ineffective or invalid, the remaining provisions will nevertheless be given full force and effect. This Service Agreement and any supplement, addendum or modification, including any photocopy or facsimile, may be executed in counterparts.

By agreeing to these terms, You acknowledge that the You have read, understand, received a copy of and agree to the terms of this Service Agreement.
